2. Definitions

"Speaker" – an individual listed, promoted, or marketed through SSB for speaking engagements."Booker" or "Client" – a user or entity seeking to hire a speaker via the SSB platform or team."Engagement" – any speaking opportunity, contract, event, or appearance requested through the Site or facilitated by our team."User" – any person using the Site, whether a Speaker, Booker, or site visitor."Content" – all text, media, bios, images, presentations, videos, and uploads to the platform by any party.

3. Use of Site

You agree:

To use the Site only for lawful purposes.That your use does not violate any applicable law or regulation. To provide accurate, truthful information in all forms and communication on the Site.

We reserve the right to refuse service, remove content, or terminate accounts at our sole discretion.

4. Speaker Terms

Speakers agree to the following:

All profile content (bios, rates, topics, photos) must be accurate and up to date.Acceptance to the platform is subject to review and approval; listing is not guaranteed.Speaker listings are non-exclusive; however, any leads, bookings, or inquiries generated through SSB remain the property of EZMetrics, LLC and may not be solicited or circumvented outside the platform.SSB reserves the right to remove or suspend speaker listings at any time for any reason.All speakers operate as independent contractors. Speakers are fully responsible for taxes, legal compliance, insurance, and conduct.

4.1 Payments to Speakers

Payments are issued only after final confirmation of booking and per the agreed timeline.SSB may deduct applicable coordination, referral, or platform fees prior to payout.Delays due to client payment issues, cancellation, or force majeure do not hold SSB liable for unpaid balances.

5. Booker Terms

Clients/Bookers agree to:

Provide accurate event information, budget, and expectations.Sign a booking agreement and pay any required deposit or fees prior to confirmation.Communicate changes, cancellations, or disputes in writing.Not circumvent SSB to directly solicit or contract with any Speaker listed on the platform.

5.1 Payment Terms

All booking requests must be accompanied by payment terms and/or deposits as defined in the agreement.All fees paid to SSB are non-refundable unless otherwise stated in the signed contract.Cancellations within 30 days of the event may result in forfeiture of fees or full payment due, at SSB’s discretion.

6. Fees & Revenue

SSB reserves the right to:

Collect commission fees for bookings.Charge administrative or processing fees.Require exclusivity for leads and inquiries originating from its platform or team.Update or modify pricing structures at any time.

7. Intellectual Property

All content on the Site (text, images, logos, layout, design) is owned or licensed by EZMetrics, LLC.Speakers grant SSB a non-exclusive, royalty-free, perpetual license to use their name, image, video, and content for marketing purposes.Unauthorized duplication or distribution is strictly prohibited.

8. Privacy

All data collected is subject to our Privacy Policy. By using the Site, you consent to the collection and use of your data in accordance with our policy, including communications related to bookings, promotions, and updates.

9. Disclaimer of Warranties

You use this Site at your own risk. We provide all services “as is” and “as available” with no guarantees regarding:

Accuracy of listingsFulfillment of speaker performanceSuitability for a particular purposeAvailability or uptime of the Site

10. Limitation of Liability

To the fullest extent allowed by law:

SSB and EZMetrics, LLC are not liable for direct, indirect, incidental, or consequential damages from use of the Site or any speaker engagement. Total liability is limited to the amount paid by the Booker to SSB for the specific engagement.

11. Indemnification

You agree to indemnify and hold harmless SSB, EZMetrics, LLC, its employees, partners, contractors, and officers from any claims, losses, disputes, damages, or expenses (including attorney fees) arising from:

12. Termination

We reserve the right to:

Remove any Speaker or User without notice.Cancel accounts for abuse, nonpayment, misrepresentation, or violation of Terms.Terminate any booking inquiry or negotiation at our sole discretion.

13. Dispute Resolution

All disputes must be addressed first through good-faith informal resolution.If unresolved, disputes shall be handled via binding arbitration under Michigan law.Jurisdiction is exclusively within Genesee County, Michigan.

14. Changes to Terms

We reserve the right to update these Terms at any time. Your continued use of the Site after changes are posted constitutes acceptance.
